Uranium American Resources, formerly known as Tonogold Resources, has finalised a strategic rebrand by changing its ticker symbol on the US OTCBB market from TNGL to UARI. The company is also currently settling a deal to buy low-risk United States uranium and vanadium projects to complete its transformation into a clean energy mineral player.
And the timing could not be better as global sentiment for nuclear clean energy surges, and the US government creates strong tailwinds for the sector.
Backing its new direction, Uranium American has raised US$3.5 million (A$5.4 million) in new capital at 6 cents a share. This adds to the US$4 million that has already been raised over the past 12 months.
The new funding came from a single US institutional investor at a significant 75 per cent premium to Uranium American’s current share price of 3.4 cents, demonstrating market confidence in the company’s vision and project execution.
The funds will be used to complete the acquisition of JAG Minerals US Inc, a wholly owned subsidiary of JAG Minerals Pty Ltd.
Under the terms of the original agreement in March last year, JAG agreed to sell its entire interest in JAG Minerals US - which holds the US uranium and vanadium assets - to Uranium American for US$8.5 million (A$13 million), split between US$6.5 million in Uranium American shares and US$2 million in cash.
The deal is expected to further bolster Uranium American’s domestic uranium footprint. The company has now assembled an enviable portfolio of uranium and vanadium assets across Utah and Colorado. Both regions are historically known for their rich nuclear minerals endowment.
Uranium American Resources chief executive officer William Hunter said: “This financing is a key milestone in completing our JAG transaction, which will be completed very shortly. We are also pleased to announce our ticker symbol change. This marks a key development in transforming the company into a new player in the uranium and vanadium industry.”
The Stateline project is a standout play and is home to multiple historic high-grade uranium and vanadium mines spanning Montrose County, Colorado and San Juan County, Utah. The company will prioritise bringing Stateline back into production.
The project sits within the prolific La Sal Trend, part of the Canyonlands section of the Colorado Plateau, which hosts mineralisation across two distinct saltbush sandstone horizons.
The area includes six leases containing 19 mines and more than 30 drill holes, with standout grades averaging 1.5 per cent vanadium and more than 2000 parts per million (ppm) uranium. Recent sampling has also picked up readings of more than a massive 10,000ppm or 10 per cent uranium.
In short, the grounds contain a geologically rich, drill-proven system in one of the region’s most mineralised corridors.
Additional to Stateline, the company’s new Sky project is a classic roll-front uranium system with serious pedigree. More than 150 drill holes, totalling 39,000 metres were punched into the ground between the 1960s and 1980s, uncovering a resource of 822,000 pounds of uranium at a healthy 1170ppm grade. That was bumped up to a solid one million pounds in 2007, adding weight to Sky’s production potential.
Sky’s north-south trending mineralisation is a textbook Wyoming play and is hosted within two thick sandstone bands sealed by impermeable clay lenses. The geological setup makes it a prime candidate for in-situ recovery, a low-impact mining method where leaching agents are injected into the orebody and uranium-rich fluids are pumped back to surface. The method is prized for its minimal surface disturbance and lower operating costs.
Uranium American’s third acquisition, Marysvale, is a hard-rock uranium and vanadium mine supported by more than 120 historic drill holes and a non-JORC compliant resource estimate of 2.9 million pounds of uranium oxide. With past production - accessed through 1950s adits - of more than 1.35 million pounds of uranium already on the books, Marysvale is another fast-track contender.
Each project was carefully acquired during the uranium market’s doldrum years between 2017 and 2020 - a time when few others were buying. The company says that foresight has allowed Uranium American to build its land bank on the cheap, just as nuclear energy begins its resurgence as a viable, carbon-free alternative.
The year ahead is shaping up to be a big one for Uranium American as it gears up to remap historical data and zero in on fresh drill targets, starting with the Stateline project. The company aims to build a JORC-compliant resource and fast-track a path to production.
Conveniently, Stateline sits near the mothballed West Mesa uranium mill, recently acquired and being refurbished by Energy Fuel Resources. The mill’s revival has opened the door for nearby toll treatment, with the new owner now actively seeking expressions of interest from smaller producers. That means Uranium American could have an ideal processing solution right on its doorstep.
Looking further ahead, the company has flagged plans to enter offtake negotiations with third parties, an important step in securing financing for a potential production start in 2028.
Momentum is building at the federal level. Since the start of President Donald Trump’s second term, US state and federal interior departments have ramped up support for critical minerals and strategic metals.
This policy shift is possibly best exemplified by what has recently happened to Dateline Resources, a junior chasing rare earths in California, whose share price soared as much as 3000 per cent after securing a government green light.
Uranium American is also considering a capital restructure to tighten up its register and significantly reduce the number of shares on issue. While not yet confirmed, such a move typically signals ambitions to uplist to a more liquid exchange, a step that would position the company squarely in front of institutional eyes.
With the clean energy narrative gathering momentum, Uranium American Resources is pressing fast-forward on a uranium revival, just as the US moves to secure a domestic nuclear fuel supply. With assets, funding and timing on its side, the company looks set to become a serious contender in America’s nuclear future. Let the renaissance begin.
